A – All WARRANTIES ARE PROVIDED by the manufacture of Coil Substrate and not by Woodstock Metal Roofing. Woodstock Metal Roofing does not offer a warranty on manufactured products – further – Woodstock Metal Roofing MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING SUCH INFORMATION OR GOODS EXCEPT THAT WARRANTS THAT IT HAS GOOD TITLE TO THE GOODS AND THE GOODS WILL CONFORM TO THEN CURRENTSPECIFICATIONS AT THE TIME OF DELIVERY. Woodstock Metal Roofing EXPRESSLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Please contact Woodstock Metal Roofing with Invoice number and date of purchase or shipment to identify the appropriate Coil Substrate manufacturer following the guidelines outlined in Buyer Obligations below.
B – BUYER’S OBLIGATIONS (a) Buyer shall inspect material received from Seller prior to installation so as to mitigate expense involved in repairing, repainting or replacing defective sheets. (b) Any claim on account of a defect in the product or for any other cause whatsoever shall be deemed WAIVED by Buyer unless written notice thereof is given to Seller within 30 days after discovery of the defect and within the applicable guarantee period. Further, Claims. Seller shall be given reasonable opportunity to investigate all claims, and no products shall be returned to Seller without Seller’s inspection and approval and receipt by Buyer of written shipping instructions from Seller. (c) To be effective, Buyer’s notice shall include such records as may enable Seller to establish the Woodstock Metal Roofing Invoice/order number, date of shipment, and the date of installation in the form of siding or roofing panels of the claimed defective sheet. These records must be duly authenticated, be made in the ordinary course of business, and be contemporaneous with the events noted therein. Buyer shall also present such evidence that establishes that any claimed defect was due to a breach of the guarantee stated herein. (d) If the claim is not found to be the fault of the coating system and if deemed appropriate by the Seller, all related site visitation costs incurred by the Seller or the Seller’s agent would be the responsibility of the claimant. (e) On aluminum panels, in order for this warranty to remain valid in coastal climates, any salt residue that accumulates on the panels must be washed off with a freshwater rinse.
C – Please be aware that Oil Canning is not covered under any manufacture’s warranties. There are many reasons by which Oil Canning might occur, such as installation and handling issues. However, Oil Canning is not eligible for reimbursement from Woodstock Metal Roofing or any Coil Suppliers. Wavy striations can be added to Standing Seam panels that can mitigate the visual affects of oil canning. Please notify Woodstock Metal Roofing in writing if you wish to add wavy striations to your panel at no additional charge. Wavy striations can not be added after manufacture.
D – Woostock Metal Roofing is not responsible for or limited to the FOLLOWING Specific CONDITIONS, REGARDLESS WHETHER SUCH CONDITIONS ARE OCCASIONED BY THE NEGLIGENCE OF THE BUYER OR ANY OTHER PARTY: (1) DAMAGE INCURRED to product, person or thing IN THE HANDLING OR SHIPMENT OF THE PRODUCT; (2) DAMAGE INCURRED AS A RESULT OF IMPROPER STORAGE OR INSTALLATION; (3) DAMAGE RESULTING FROM AGGRESSIVE ENVIRONMENTS, PROLONGED MOISTURE CONTACT OR CONTACT WITH CORROSIVES AND/OR DISSIMILAR MATERIALS, ANIMAL WASTE, CEMENT DUST, ASH, OR FUMES FROM CHEMICAL PLANTS, FOUNDRIES, PLATING WORKS, KILNS, FERTILIZER MANUFACTURING, PAPER PLANTS AND THE LIKE; (4) AREAS SUBJECT TO WATER RUN-OFF FROM LEAD OR COPPER FLASHINGS OR AREAS IN METALLIC CONTACT WITH LEAD OR COPPER; (5) IMPROPER SCOURING OR CLEANING PROCEDURES; (6) FAILURE TO PROPERLY PROTECT THE PRODUCTS FROM CONTACT WITH PRESSURE TREATED OR FIRE RETARDANT LUMBER; (7) PAINT DAMAGE RESULTING FROM EDGE CORROSION OR FAILURE OF THE METAL SUBSTRATE.
Force Majeure. Woodstock Metal Roofing Professional ‘s performance under any order accepted pursuant to these Conditions shall be excused in the event of fire, explosion, flood, severe weather, accident, strike, governmental act, embargo, shortages of raw materials or fuel, computer system failure, war or military action, riot, civil disturbance or any other event beyond the control of GP Professional or which materially affects the economic basis of the bargain (“force majeure”). GP Professional ‘s performance in the event of a force majeure shall be excused for so long as the cause continues, without liability. If the force majeure shall continue unabated for ninety (90) consecutive days, GP Professional may, at its option, cancel any order so affected without liability.
Woodstock Metal Roofing is not responsible for any adverse effects to product or customer arising out of acts of God or other conditions beyond its control. Woodstock Metal Roofing is not responsible for damage to person, place, or thing affected by handling, installation, or use of Woodstock Metal Roofing products.
Governing Law; Consent to Jurisdiction and Venue. These Conditions shall be governed by the laws of the State of Georgia, USA, and the courts of Georgia shall have exclusive jurisdiction without reference to the choice of law, conflicts of law, or principles of any other state or country which might otherwise be applied. BUYER HEREBY CONSENTS TO JURISDICTION, PERSONAL AND OTHERWISE, OF SUCH COURTS, AND HEREBY WAIVES ANY OBJECTIONS OF ANY NATURE TO VENUE IN SUCH COURTS.
Prices and Payment Terms. Prices quoted are for the Goods described for one order and one billing. Prices applicable are those in effect at the time of acceptance of the order. Taxes (except Woodstock Metal Roofing’s income tax), special handling, storage or shipping charges, insurance, and other similar charges are additional and paid by Buyer. Unless otherwise agreed, payment is due receipt of material without set off or deduction. Delinquent payments shall be subject to post maturity charges of one and one-half percent per month or the highest rate permitted by law at the point of delivery. A delinquent Buyer shall pay Woodstock Metal Roofing’s reasonable costs of collection, including attorney’s fees and court costs. Woodstock Metal Roofing in its sole discretion may withhold shipments, require advance payment prior to shipment, or cancel orders of any delinquent Buyer, notwithstanding earlier acceptance. Woodstock Metal Roofing may increase prices at any time without prior notice. In the event of a price decline, Woodstock Metal Roofing shall have no liability or obligation to refund any portion of payments resulting from prior sales.
These Terms and Conditions shall be binding on and inure to the benefit of the respective successors and permitted assigns of the parties; provided, however, that Buyer shall not assign its rights or obligations under the Conditions, without Woodstock Metal Roofing’s prior written consent. No waiver of any provision of these Conditions by Woodstock Metal Roofing professional shall be valid unless the same is in writing and signed by Woodstock Metal Roofing’s Owner. Woodstock Metal Roofing reserves the right to unilaterally modify or amend any portion of these Conditions at any time without prior notice. The current version of these Conditions and any modifications or amendments supercede all prior versions of these Conditions.
